Elanders acquires Sommer Corporate Media GmbH & Co. KG

Elanders continues its international expansion by acquiring Sommer Corporate Media and proposes a preferential rights share issue.

As a further step in Elanders’ expansion and concentration on infomedia services the company has acquired 100 % of Sommer Corporate Media GmbH & Co. KG (Sommer Corporate Media) in Waiblingen close to Stuttgart, Germany. This reinforces Elanders’ leading position as a supplier of information solutions to the European automotive industry.

Sommer Corporate Media is a leading supplier of information solutions, primarily to the premium segment of the German automotive industry such as Daimler-Chrysler, Porsche and Audi. Sommer Corporate Media also has several other well-known Germany companies as customers, among them Lufthansa, Postbank, Bosch and Hugo Boss. Turnover in Sommer Corporate Media in 2006 was around MEUR 32 and operating profit (EBIT) amounted to approximately MEUR 4.

Sommer Corporate Media will become part of the Elanders business area Infologistics. Peter Sommer, President and principle owner of Sommer Corporate Media, will continue to be responsible for the German market and become a member of the Elanders Group Management.

The purchase sum is MEUR 27.3 with an additional purchase sum of MEUR 0.8 per year to the seller for as long as he remains employed by the company. However, this is limited to 5 years or MEUR 4.

Elanders reckons Sommer Corporate Media will be consolidated into Group accounting from February 2007. Elanders expects the acquisition to have a positive effect on profit per share in 2007.

The Board of Elanders plans to propose a new share issue with preferential rights for all shareholders of some MSEK 150 to finance part of the acquisition. The entire amount of the new share issue will be guaranteed by the principle shareholders Carl Bennet AB and Investment AB Latour. The new share issue is expected to take place in the first quarter of 2007. Detailed time schedules and terms will be released later.
