Elanders has notified its shareholders of an extraordinary general meeting and proposes a preferential rights share issue to partially finance the acquisition of Sommer Corporate Media.

As previously announced on 31 January 2007 Elanders has acquired 100 % of Sommer Corporate Media GmbH & Co. in Waiblingen, Germany. This is a further step in Elanders’ expansion and concentration on infomedia services and Elanders expects the acquisition to have a positive effect on profit per share in 2007. Turnover in Sommer Corporate Media in 2006 was around MEUR 32 and operating profit (EBIT) amounted to approximately MEUR 4.

To finance part of the acquisition the Board of Elanders proposes that the extraordinary general meeting on 16 February 2007 decide on a new share issue with preferential rights for all existing shareholders in which six (6) existing shares in Elanders give the right to one (1) new share at an issue price of SEK 110. The proposed issue will provide Elanders with around MSEK 153 before issue expenses.

The principle owners Carl Bennet AB and Investment AB Latour will commit to subscribe for their share of the issue, which amounts to 28.2 % and guarantee the rest of the 71.8% issue if it is not fully subscribed for through primary or subsidiary preferential rights, which means the entire new share issue is secured.

The proposed time schedule in summary:

On 16 February 2007 an extraordinary general meeting in Elanders decides on a preferential rights issue.
Last trading day in Elanders shares, including the right to participate in the issue, will be 8 March 2007.
Record day for participation in the new share issue will be 13 March 2007.
Prospectus concerning the new share issue will be presented 14 March 2007.
Subscription period will be from 16 to 29 March 2007.
Trading with subscription rights will be from 16 to 26 March 2007.
