Annual General Meeting 2005
"Elanders continues its international expansion" said the CEO in his speech to the Annual General Meeting.
The Annual General Meeting, led by Chairman of the Board Carl Bennet, decided to:
- adopt the annual accounts for 2004
- confirm the decision of the board to distribute a dividend for 2004 of SEK 2 per share and that the record date for the payment of dividends be 26 April 2005
- discharge the members of the board and the chief executive officer from liability for the financial year 2005
- grant, according the proposal in the summons to attend, the board a remuneration of a total of SEK 1,960,000 to be divided among the members for the financial year 2005 and grant remuneration to the auditors as billed
- appoint, according the proposal in the summons to attend, the following members to the board until the next Annual General Meeting is held in 2006:

Ingegerd Gréen (re-election)
Patrick Holm (CEO) (re-election)
Gunilla Jönson (re-election)

CEO Patrick Holm said in his speech to the Annual General Meeting that Elanders has excellent prospects for the future, particularly pertaining to full-service solutions for publishing to large industrial groups within the framework of the Master Vendor® concept. He emphasised the Group’s expansion internationally. In connection with this Holm stated that the cost of the new establishments in China and France will cause consolidated pre-tax profit during 2005 to remain on the same level as the previous year, which is an addendum to the forecast made in the report on the annual accounts and the Annual Report 2004: that continued positive development is anticipated in 2005.

After the Annual General Meeting the board held its first meeting at which Tore Åberg was appointed vice chairman of the board.

Free cash flow amounted to MSEK 40 (MSEK 8).
Pre-tax profit amounted to MSEK 45.3. Pre-tax profit the previous year was MSEK 53.9 after one-off income of MSEK 7.
Net profit was MSEK 29.6 (MSEK 47.8) or SEK 3.54 per share (SEK 5.71 per share).
Infologistics continues to develop positively in turnover and profit.
